Project Strategy

For the purposes of authorizing Rise Digital Strategies to start working, Rise Digital Strategies and Customer hereby agree and acknowledge:

1.1 Independent Contractors
Each party is an independent entity and not a strategic partner, franchisee, agent, or employee of the other. Neither party will present itself as having any partnership or joint venture relationship with the other.

1.2 Communication and Collaboration
Customer agrees to maintain open communication and transparency throughout the engagement. Rise Digital Strategies will communicate regularly regarding progress and performance.

1.3 Customer Participation
Customer agrees to actively participate in the process, including providing timely feedback, approvals, and any necessary materials to enable Rise Digital Strategies to deliver optimal results.

2.1 Ownership of Assets
All ad campaigns, creatives, automations, and related materials created by Rise Digital Strategies under the Customer’s account will become the property of the Customer once all invoices are paid in full. Rise Digital Strategies retains ownership of its proprietary strategies, internal processes, and methodologies, which may not be resold, copied, or redistributed by the Customer.

2.2 Customer Data
All data collected through advertising campaigns belongs exclusively to the Customer, provided the Customer complies with this Agreement. Rise Digital Strategies will not rent, sell, or lease any such data. If the Customer terminates the agreement, all campaign assets will remain intact and accessible to the Customer.

2.3 Confidentiality
All confidential information shared or developed during this engagement, including marketing materials, graphics, client data, business plans, databases, and communications, must be kept strictly confidential by Rise Digital Strategies and may not be shared with third parties without the Customer’s written consent. Rise Digital Strategies may not use the Customer’s name, brand, results, or testimonials for promotional purposes without prior written approval.

3.1 Contractor Exclusivity
Rise Digital Strategies will not run advertising campaigns for direct competitors whose service areas overlap with those of the Customer. The Customer is responsible for providing a list of target locations. Rise Digital Strategies will decline work that conflicts with this exclusivity.

3.2 Ad Account Control
To maintain campaign performance and accuracy, the Customer agrees not to alter, edit, or delete, advertising campaigns managed by Rise Digital Strategies during our working relationship. The Customer may work with other agencies or run separate marketing campaigns, provided they do not modify or disrupt Rise Digital Strategies’ campaigns within the same ad account. While boosting posts is permitted, the Customer agrees not to add outside agencies or contractors to the same Business Manager during the term of this agreement without written consent from Rise Digital Strategies.

3.3 Lead Generation Disclaimer
Rise Digital Strategies will apply its expertise and best practices to create and manage advertising campaigns aimed at generating high-quality leads. However, no guarantee is made regarding specific lead volume, conversions, or sales. Results depend on factors such as market conditions, consumer behavior, and competition, all of which are outside of Rise Digital Strategies’ control.

4.1 Monthly Fees
Rise Digital Strategies will charge $1,000 per ad account managed to the Customer’s credit card each month. Payment will be processed automatically on the same day each month, based on the initial payment date.

4.2 Payment Failures
If a payment is declined, Rise Digital Strategies will request an alternate payment method. If payment is not received within 24 hours, advertising campaigns will be paused until payment is made. 

4.3 Subscription Terms
This agreement requires a 3-month minimum commitment. After the initial term, the agreement converts to a month-to-month subscription. Payments are billed monthly in advance and are not prorated if services are canceled mid-cycle. If the Customer cancels service before the initial 3-month term concludes, all remaining monthly fees become due according to the original payment schedule.

4.4 Cancellation Procedure
After the initial 3-month term, the Customer may cancel services at any time with written notice. If cancellation occurs after a monthly billing date, the Customer is responsible for the full monthly fee for that billing period.

5.1 Availability
Rise Digital Strategies will be available Monday through Friday, 9:00 AM to 5:00 PM EST, via email or phone.

5.2 Response Time
Rise Digital Strategies will respond to all client emails, calls, or texts related to ongoing projects within 24 hours during normal business hours.

5.3 Onboarding
Onboarding will occur within 3 business days of payment, subject to the Customer’s availability. Delays caused by the Customer will not extend services or result in prorated fees.

5.4 Reporting
Following the launch of the initial campaign, performance reviews will take place via our Slack channel discussions.

6.1 Agreement Term
This Agreement begins upon execution and remains in effect for a minimum of three months. After the initial term, it will automatically renew on a month-to-month basis until canceled by either party with written notice.

6.2 Early Termination
If the Customer terminates before the end of the initial term, all remaining monthly fees are due according to the original billing schedule. 

6.3 Pause Requests
The Customer may request a temporary pause of campaigns; however, the billing schedule and agreement term will continue as scheduled, and monthly fees must still be paid on time.

7.1 Meta Platforms (Facebook and Instagram)
Customer understands that Meta may reject ads, restrict accounts, or disable access at any time. Rise Digital Strategies follows Meta’s terms and best practices but is not liable for account actions taken by Meta. Refunds are not issued for issues resulting from Meta’s policies.

7.2 Google Ads
Customer understands that Google may reject ads or disable accounts at any time. Rise Digital Strategies follows Google’s terms and best practices but is not liable for actions taken by Google. Refunds are not issued for issues resulting from Google’s policies.

7.3 Messaging Platforms
Customer understands that carriers or email providers may block or restrict messaging. Rise Digital Strategies will follow best practices for compliance but is not liable for restrictions imposed by these providers.

8.1 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or communications. No modifications are valid unless made in writing and signed by both parties.

8.2 Confidentiality of Terms
Neither party will disclose the terms of this Agreement to third parties except as required by law or to professional advisors under strict confidentiality.

8.3 Governing Law
This Agreement will be governed by the laws of the state in which Rise Digital Strategies is headquartered, without regard to conflicts of law principles.

I authorize Rise Digital Strategies to charge the credit card as used to initiate services executed by this agreement. I certify that I am an authorized user of this credit card. I acknowledge that this form will be kept on file for any future orders with Rise Digital Strategies unless told otherwise in a written statement.

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS SERVICE AGREEMENT.
